Acceptance of these terms

These Terms of Service ("Terms") govern your access to and use of counting.ai and any related pages (the "Website"), operated by Counting LLC ("Counting AI," "Counting," "we," "us" or "our"). By accessing or using the Website, you agree to these Terms. If you do not agree, please do not use the Website.

If you use the Website on behalf of an organization, you confirm that you have authority to accept these Terms on its behalf.

Who we are

Counting AI is a brand of Counting LLC, a company based in Sunnyvale, California. We provide custom AI and data engineering services to job boards, staffing and recruiting firms, recruiting software companies and other businesses in the United States and the European Union, working with the data our clients own or license, in their own cloud environments.

Our services and client agreements

The Website is for general information about Counting and the services we offer. It is not an offer to provide services on any particular terms.

All client work is provided under a separate written agreement, such as a master services agreement and statement of work, signed by both parties. If a signed agreement conflicts with these Terms, the signed agreement governs that engagement. Descriptions, examples and sample outputs on the Website are illustrative only and are not commitments regarding any particular deliverable, result or timeline.

No hiring decisions or advice

Counting builds and operates software for our clients. We do not make hiring, employment or placement decisions, and we are not an employment agency, job board or recruiter. Our clients and their users decide whom to contact, interview or hire, and are responsible for complying with the employment and anti-discrimination laws that apply to them.

Nothing on the Website is legal, employment, career or tax advice. Examples on the Website are illustrative. They show the kind of work we do and do not describe actual people, employers, jobs, clients or data. You should not rely on them to make any decision.

Using this website

You may view and use the Website for lawful purposes, including learning about our services and contacting us. You agree not to:

  • use the Website in any way that violates applicable law or regulation;
  • attempt to gain unauthorized access to the Website, our systems or networks, or probe, scan or test their vulnerability without our written permission;
  • interfere with or disrupt the Website, including by introducing malware or placing an unreasonable load on our infrastructure;

The Website and its content, including text, graphics, logos, design and code, are owned by Counting or its licensors and are protected by intellectual-property laws. "Counting AI" and our logo are trademarks of Counting LLC. Except as these Terms allow, you may not copy, modify, distribute or create derivative works from the Website's content without our prior written permission.

You may share links to the Website and quote brief excerpts with attribution for non-commercial purposes.

Information you send us

If you contact us by email, we use the information you provide, such as your name, email address, organization and message, to respond to you and to discuss a potential engagement. We do not sell this information.

We work with companies, not individual job seekers. Please do not send us resumes, job applications, candidate data or other personal or confidential information through the Website or by unsolicited email. We are happy to sign a non-disclosure agreement before any confidential discussion. Unless we have agreed otherwise in writing, unsolicited ideas or materials you send us are not treated as confidential, and we are free to use them without obligation to you.

Third-party links and content

The Website may reference or link to third-party websites, data sources, products or services. We do not control them and are not responsible for their content, availability or practices. Mentioning a third party or its data does not imply endorsement, partnership or a licence to that data.

Disclaimer of warranties

The Website and its content are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy. We do not warrant that the Website will be uninterrupted, secure or error-free, or that its content is complete or current.

Limitation of liability

To the fullest extent permitted by law, Counting and its officers, employees and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or relating to your use of, or inability to use, the Website, even if we have been advised of the possibility of such damages. Our total liability for any claim relating to the Website will not exceed one hundred U.S. dollars (US$100).

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you. This section does not limit liability under any separate signed agreement, which is governed by its own terms.

Indemnification

You agree to indemnify and hold harmless Counting and its officers, employees and agents from any claims, losses, liabilities and expenses, including reasonable legal fees, arising out of your misuse of the Website or your violation of these Terms.

Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Website will be brought exclusively in the state or federal courts located in Santa Clara County, California, and you consent to their jurisdiction.

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver of it.

Changes to these terms

We may update these Terms from time to time. When we do, we will post the revised version on this page and update the effective date above. Your continued use of the Website after changes take effect means you accept the revised Terms.
